New legal provisions for non-trading companies
New legal provisions, in force since 29 September, apply to non-trading companies registered in the Principality of Monaco.
It is now a requirement to designate a person responsible for the basic information of the legal entity and for the information of the beneficial owners within the Business Development Agency.
You may appoint a single person to be responsible for both categories of information or appoint two separate people.
If your non-trading company has a bank account in the Principality, the person responsible for the information must be a natural person residing in Monaco, who may be a partner, shareholder, manager, or a member of staff.
If your non-trading company does not have a bank account in the Principality or if it proves impossible to appoint a natural person residing in Monaco, you must appoint one of the following Monegasque professionals to be responsible for this information:
- A chartered accountant or certified accountant
- A notary
- A defence lawyer, lawyer, and junior lawyer
- A legal advisor
- A company service provider
- A multi-family office
Registration of this information is entirely free of charge and must be completed by contacting the Business Development Agency using the dedicated forms. For more details on these procedures, please visit www.monentreprise.gouv.mc under the heading 'Appointing an information officer'.
